Terms of Service

1. Agreement to these Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Services

This Google Play app provides AI music generation using credits associated with your Suede account, one-time credit packs purchased through Google Play, access to your library, and related creator features. Recurring Studio memberships and external payment methods are not offered in this app. We may add, remove, or change features at any time. Some features depend on third-party service providers and may be unavailable from time to time.

3. Eligibility and accounts

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Services. You are responsible for maintaining the security of your account credentials, wallet keys, and API keys, and for all activity under your account. You must promptly notify us of unauthorized access.

We may suspend or terminate accounts that violate these Terms, that we believe pose a risk to other users or the Services, or that are required to be terminated by law.

4. Acceptable use

You agree not to use the Services to:

• Infringe the intellectual property, publicity, or privacy rights of others, including by uploading or generating works that copy a specific living artist's voice, likeness, or identifiable style without authorization
• Create child sexual abuse material, non-consensual sexual content, content sexualizing minors, or content that depicts graphic real-world violence or terrorism
• Harass, defame, or threaten others, or generate content intended to deceive or impersonate a specific real person
• Circumvent rate limits, abuse trial credits, or attempt to extract weights or proprietary system prompts
• Use the Services to compete directly with Suede by training competing models on Suede outputs at scale
• Probe, scan, or test the vulnerability of the Services outside of an authorized program
• Violate applicable law, including export controls, sanctions, anti-money-laundering, and securities laws

We may remove content, suspend access, and report illegal activity to authorities as we believe necessary.

5. Google Play credit purchases

Credit packs. One-time credit packs in the Android app are sold and billed through Google Play. The product and localized price shown in the Google Play purchase sheet control the transaction. Credits are added only after Google Play confirms a completed purchase. Credits have no cash value and are not transferable.

Refunds and support. Google Play handles payment-method charges and refund requests under its policies. For help reconciling a completed purchase with your Suede balance, contact us through the Support page.

6. Your content and generated works

Your inputs. You retain ownership of the prompts, files, and other materials you submit to the Services ("Inputs"). You grant Suede a worldwide, royalty-free license to host, process, transmit, and modify Inputs as necessary to operate the Services and provide them to you.

Your outputs. Subject to these Terms and the required credits or entitlement, you own the outputs that the Services generate from your Inputs ("Outputs") to the maximum extent the law allows you to own AI-generated content. Because identical or similar Outputs may be produced for different users from similar Inputs, your ownership is not exclusive against other users who receive substantially similar Outputs.

Suede's licenses. You grant Suede a non-exclusive, worldwide, royalty-free license to use Inputs and Outputs in de-identified or aggregated form to improve and develop the Services, to enforce these Terms, and to comply with law.

Provenance records. When you publish, mint, or register a work through Suede, the resulting record may be public and persistent (including on public blockchains) and may not be deletable.

Your representations. You represent that you have all rights needed to submit your Inputs and to grant the licenses above, and that your Inputs and Outputs do not violate these Terms or applicable law.

7. Suede intellectual property

The Services, including software, models, design, documentation, and the Suede name and logos, are owned by Suede Labs AI and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No other rights are granted by implication, estoppel, or otherwise.

8. Third-party services

The Services integrate with Google Play for Android purchases and with model, identity, storage, infrastructure, and analytics providers. Your use of those services is subject to their own terms. We are not responsible for third-party services we do not control.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, NON-INFRINGING, OR FIT FOR YOUR PURPOSE. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS, AND YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING OUTPUTS BEFORE RELYING ON THEM.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUEDE LABS AI OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You will indemnify and hold harmless Suede Labs AI and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Inputs, your Outputs, your use of the Services, your violation of these Terms, or your violation of the rights of any third party.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time for any reason, including if you violate these Terms. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability, and governing law) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Florida, and you and Suede consent to the personal jurisdiction of those courts. To the extent permitted by law, you and Suede waive any right to a jury trial.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where the change is material, give additional notice. Your continued use of the Services after the update constitutes acceptance of the updated Terms.

15. Miscellaneous

These Terms together with our Privacy Policy are the entire agreement between you and Suede regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
